We are looking for a Senior Legal Counsel with deep expertise in investment funds and Luxembourg regulatory frameworks to join our team in Madrid. The ideal candidate will bring a strong transactional background, sharp commercial instincts, and the ability to operate seamlessly across jurisdictions — particularly between Spain and Luxembourg.
Funds & Structuring
Advise on the structuring, formation and ongoing operation of investment funds, with a focus on Luxembourg vehicles (SCSp, SICAV, RAIF, SIF, etc.)
Draft and negotiate fund documentation including LPAs, PPMs, subscription agreements and side letters
Coordinate with Luxembourg counsel, depositaries, administrators and other fund service providers
Regulatory & Compliance
Advise on AIFMD compliance and related AIFM authorisation and delegation matters
Monitor and interpret regulatory developments in Luxembourg, Spain and at EU level
Liaise with regulators (CSSF, CNMV) as required
Investor Relations & LP Matters
Support LP onboarding, KYC/AML processes and ongoing investor communications from a legal perspective
Negotiate LP-specific terms and manage side letter processes
Advise on investor reporting obligations and fund governance matters
Corporate Restructuring
Advise on corporate restructuring transactions involving fund vehicles and holding structures
Draft and review transaction documents including SPA, SHA and ancillary agreements
Coordinate cross-border legal workstreams with external counsel
General Legal Support
Provide day-to-day legal support to investment and operations teams
Manage relationships with external law firms across relevant jurisdictions
Contribute to the development and improvement of internal legal processes and templates
Essential
Law degree; preferably with an LLM or specialisation in finance, funds or EU law
Minimum 6–8 years of experience in a law firm and/or in-house role with significant funds exposure
Solid knowledge of Luxembourg fund structures and the Luxembourg legal and regulatory framework
Strong command of AIFMD and the broader EU funds regulatory environment
Fluent in English and Spanish (written and spoken, both at professional level)
Ability to work independently and manage multiple workstreams simultaneously
Based in Madrid or willing to relocate; no remote-first arrangements
Highly Valued
Direct experience with AIFM authorisation, structuring or oversight
Experience managing LP relationships and negotiating side letters
Background in corporate restructuring, M&A or distressed transactions within fund structures
Knowledge of French or Luxembourgish (a plus, not a requirement)
Familiarity with real estate, infrastructure or private equity fund strategies
Prior exposure to the hospitality, leisure or alternative assets sector
Base salary: 60k, commensurate with experience.
Variable bonus: up to 20% of base salary, subject to individual and company performance objectives
